Waiver of right of first refusal clause samples

4.2 Waiver of Right of First Refusal. The Company hereby waives any preexisting rights of first refusal applicable to the transactions contemplated hereby.

10.6 Waiver of Right of First Refusal. The provisions of this bylaw may be waived with respect to any transfer by the corporation upon duly authorized action of the Board of Directors. This bylaw may be amended or repealed either by a duly authorized action of the Board of Directors or by the stockholders, upon the express written consent of the owners of a majority of the voting power of the corporation.

5.16 Waiver of Right of First Refusal.Pursuant to Section5.1 of the Prior Agreement, each of the undersigned Existing Investors who together hold a majority of the Registrable Securities (as defined in the Prior Agreement) hereby waive on behalf of themselves and all other Existing Investors the right of first refusal and any notice requirements in connection therewith, as set forth in the Prior Agreement, with respect to any sale and issuance by the Company of shares of SeriesE Preferred Stock or any securities issuable upon conversion thereof or otherwise exercisable therefor.

7.16. Waiver of Right of First Refusal.Pursuant to Section 5.1 of the Rights Agreement, the undersigned Investors, representing the Holders (as defined in the Rights Agreement) holding a majority of the Registrable Securities, on behalf of themselves and all other Holders of Registrable Securities granted the right of first refusal pursuant to Section 4 of the Rights Agreement, hereby agree to waive such right of first offer and any notice requirements in connection therewith, with respect to the Company’s sale and issuance of the Securities pursuant to this Agreement.

(f) Waiver of Right of First Refusal. The provisions of this bylaw may be waived with respect to any transfer only by the corporation upon the duly authorized action of the Board of Directors. Subject to any restrictions set forth in the corporation’s Certificate of Incorporation, as amended, this bylaw may be amended or repealed only by a duly authorized action of the Board of Directors.

6.12 Waiver of Right of First Refusal. The Investors hereby waive any rights to notice of, and hereby waive any rights of first refusal contained in Section4 of that certain Amended and Restated Investors’ Rights Agreement dated as of July3, 2019 by and among the Company and certain investors, as such rights would apply to the issuance of the Notes under this Agreement and any security issuable upon conversion thereunder, except to the extent that such Investors are purchasing Notes hereunder as set forth in ExhibitA hereto.

(f) Waiver of Right of First Refusal. The provisions of this bylaw may be waived with respect to any transfer either by the corporation upon duly authorized action of the Board of Directors or by its Compensation Committee.

14. Waiver of Right of First Refusal. The Right of First Refusal set forth in Paragraph 7 of the First Amendment is hereby waived by the Tenant and is hereby null and void and of no force and effect.

6.16Waiver of Right of First Refusal. Each Investor who was a party to the Prior Agreement and who was a Major Investor thereunder hereby waives any right of notice or right of first refusal with respect to the sale of the Series C Preferred Stock pursuant to the terms of the Purchase Agreement to which such Major Investor may be entitled pursuant to the Prior Agreement. Such waiver shall be binding upon all parties to the Prior Agreement.
