(c) Legally Compelled Disclosure. In the event that any Party is requested or becomes legally compelled (including without limitation, pursuant to any applicable tax, securities, or other Laws and regulations of any jurisdiction) to disclose the existence of this Agreement or content of any of the transaction terms, such Party (the “Disclosing Party”) shall provide the other parties with prompt written notice of that fact and shall consult with the other parties regarding such disclosure. At the request of another Party, the Disclosing Party shall, to the extent reasonably possible and with the cooperation and reasonable efforts of the other parties, seek a protective order, confidential treatment or other appropriate remedy. In any event, the Disclosing Party shall furnish only that portion of the information that is legally required and shall exercise reasonable efforts to obtain reliable assurance that confidential treatment will be accorded such information.
(g) If Consultant or its Representatives determine in good faith that any disclosure of Proprietary Information is required under applicable law or legal process (including without limitation, by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar process), Consultant will provide Company prompt written notice of such disclosure and will assit Company in seeking a protective order or another appropriate remedy as Company shall request. If Company waives Consultant’s compliance with this Agreement or fails to obtain a protective order or other appropriate remedy, Consultant or its Representatives may, without liability hereunder, disclosure to such requiring person only that portion of the Propriteary Information that is legally required ot be disclosued; provided that any Proprieatry Information so disclosed shall maintain its confidentiality protection for all purposes other than such legally compelled disclosure. Notwithstanding the foregoing, nothing ehrein shall restrict or require notice of disclolsure of the Proprietary Information to regualtors in the course of exminations of Consultant’s affairs or those of its Representatives in the ordinary course.
Legally Compelled Disclosure. If any Party becomes legally compelled to disclose any Confidential Information of another Party (whether by judicial or administrative order, applicable law, rule or regulation, or otherwise), that Party shall use all reasonable efforts to provide the other Party with prior notice thereof so that the other Party may seek a protective order or other appropriate remedy to prevent such disclosure. If such protective order or other remedy is not obtained prior to the time such disclosure is required, the Party required to make the disclosure will only disclose that portion of such Confidential Information which it is legally required to disclose.
8.4Legally Compelled Disclosure. In the event that any Party becomes legally compelled (including pursuant to securities laws and regulations) to disclose the existence of this Agreement or any Terms in contravention of the provisions of this Section8, such Party (the Disclosing Party) shall, if and to the extent that it can lawfully do so, provide the other Parties (the Non-Disclosing Parties) with prompt written notice of that fact so that the appropriate Party may seek (with the cooperation and reasonable efforts of the other Parties) a protective order, confidential treatment or other appropriate remedy. In such event, the Disclosing Party shall furnish only that portion of the information that is legally required and shall exercise reasonable efforts to obtain reliable assurance that confidential treatment will be accorded such information to the extent reasonably requested by any Non-Disclosing Party.
4.4. Legally Compelled Disclosure. If Consultant is required to disclose Confidential Information by court order or applicable law, Consultant shall immediately notify Chiasma in writing and, at Chiasmas election, cooperate with Chiasma in the event Chiasma challenges such disclosure obligation. Notwithstanding anything to the contrary herein, Consultant acknowledges receipt of the following notice under 18 U.S.C § 1833(b)(1) that an individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that (A)is made (i)in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney; and (ii)solely for the purpose of reporting or investigating a suspected violation of law; or (B)is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. In the event that Chiasma determines that it has an obligation produce or disclose information related to the Services, Consultant agrees to cooperate with Chiasma as needed to preserve, collect, and disclose all information that Chiasma deems relevant to such obligation.
23.3 Legally Compelled Disclosure. In the event that any party is requested or becomes legally compelled (including without limitation, pursuant to securities laws and as required by any governmental authority or stock exchange, or to comply with the best practices of disclosure for a company listed on a stock exchange) to disclose or file the existence or content of any of the Financing Terms hereof in contravention of the provisions of this Clause 23.3, such party (the Disclosing Party) shall, to the extent legally permissible, promptly provide the other parties with written notice of that fact so that such other parties may seek a protective order, confidential treatment or other appropriate remedy. In such event, the Disclosing Party shall furnish only that portion of the information that is legally required.
6.4Legally Compelled Disclosure. Except as set forth in Section6.3 above, in the event that any party is requested or becomes legally compelled (including without limitation, pursuant to any applicable tax, securities, or other laws and regulations of any jurisdiction) to disclose any Confidential Information, such party (the Disclosing Party) shall provide the other parties hereto with prompt written notice of that fact and shall consult with the other parties hereto regarding such disclosure. At the request of the other parties, the Disclosing Party shall, to the extent reasonably possible and with the cooperation and reasonable efforts of the other parties, seek a protective order, confidential treatment or other appropriate remedy. In any event, the Disclosing Party shall furnish only that portion of the information that is legally required and shall exercise reasonable efforts to obtain reliable assurance that confidential treatment will be accorded to such information.
