(a) No Due Diligence Contingency. Purchaser expressly acknowledges that its obligations hereunder are not contingent or conditioned upon any inspection, due diligence or title insurance contingency or condition precedent. The state of the physical or environmental condition of the California Property and/or the New York Property shall not be a condition to Purchasers obligation to consummate the Closing.
On April 30, 2019, Talon entered into a Purchase and Sale Agreement to sell the UMAGA property. Talon has contracted to sell UMAGA for Twenty Six Million Dollars ($26,000,000).The contract is binding, but the contract includes a due diligence contingency. ThePurchase and Sale Agreement does not containa financing contingency. As of the date of this filing, the Company does not consider closing of the UMAGA agreement to be probable. Accordingly, proforma presentation as of March 31, 2017 and the three months then ended are not included herein.
