However, except as provided by applicable law, employees shall have a very limited expectation of privacy with respect to their use of Company-provided information systems (e.g. work computers, mobile phones and email). To the extent allowed by applicable law, the Company may monitor and inspect its information systems for purposes of assuring system security and/or compliance with Company policies. For such purposes the Company may, with or without notice, audit or monitor computerized information, messages, email or Internet transactions electronically, in accordance with applicable laws. The Company may also, in accordance with applicable laws, inspect the content of files, email or other messages in the course of an investigation triggered by indications of impropriety or as necessary to locate information that is no more available by other less intrusive means.
c. Compliance with Company Policies. The Director agrees to adhere to the Company’s policies currently in effect or hereinafter adopting, including, but not limited to, the Director Compensation Policy and Stock Ownership Guidelines.
Any political contributions made by or on behalf of the Company and any solicitations for political contributions of any kind must be lawful and in compliance with Company policies. This policy applies solely to the use of Company assets and is not intended to discourage or prevent individual employees, officers or directors from making political contributions or engaging in political activities on their own behalf. No one may be reimbursed directly or indirectly by the Company for personal political contributions.
9. Compliance with Company Policies. You agree to comply at all times with all Company policies, rules and procedures as they may be established, stated and/or modified from time to time at the Company’s sole discretion, including without limitation, any policies, rules and procedures contained in the Company’s Employee Handbook and Code of Ethics. In this regard, among other things, you will be expected to comply at all times to the Company’s standards of professionalism, loyalty, integrity, honesty, reliability and respect for others. You will also comply at all times with your confidentiality obligations to the Company and its clients and all laws and regulation applicable to the Company’s business and performance of your duties for the Company.
10.Confidential Information Agreement; Compliance with Company Policies. As a condition of your employment, you are also required to sign and comply with an [At-Will Employment, Confidential Information, Invention Assignment and Arbitration Agreement (the Confidential Information Agreement)] which requires, among other provisions, the assignment of patent rights to any invention made during your employment at the Company, and non-disclosure of Company proprietary information and compliance with the arbitration provisions in the event of any dispute or claim relating to or arising out of our employment relationship.
The notice required on either side to terminate the Employment Contract is six (6)months. The Company reserves the right in its sole discretion to require the Employee not to attend work or carry out any duties during some or all of his/her notice period. Should the Company exercise this discretion, the Employee would normally be paid his/her base salary and other benefits for the duration of the notice period he/she is not required to work providing always that he/she remains in compliance with Company policies. The Company may require the Employee to take accrued but unused holiday in any period of non working notice.
5.2 Compliance with Company Policies. Contractor will perform the Services in accordance with all policies and procedures provided by Company, including any third party policies and procedures that Company is required to comply with.
Good business practice requires that certain Company records be retained for various time periods. Often, these are required by law, and it is the responsibility of each Employee to ensure that records are retained in compliance with applicable document retention policies established from time to time by the Company in compliance with applicable laws. No one may falsify or improperly alter any information contained in the Company’s records. Documents that need not be kept should be disposed of in compliance with Company policies. Where litigation or a government investigation is likely or ongoing, records may not be destroyed until Counsel advises that the matter has been concluded.
